1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the FlowPilotAI website, services, and related offerings (collectively, the “Services”).
By accessing our website, booking a demo, or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Description of Services

FlowPilotAI provides automation solutions designed to help businesses manage inbound calls, qualify client inquiries, and book appointments using automated and AI-assisted systems.
The specific features, pricing, and scope of Services may vary depending on the agreement entered into with each client.

3. Eligibility

By using the Services, you represent and warrant that:

You have the authority to enter into this agreement on behalf of yourself or your business

All information you provide is accurate, current, and complete

4. Acceptable Use
​
You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.

You may not:

Use the Services for illegal, fraudulent, or deceptive activities

Attempt to interfere with or compromise system security or performance

Misrepresent your identity, business, or intent

FlowPilotAI reserves the right to suspend or terminate access if misuse or violations are identified.

5. Client Responsibilities
​
Clients are solely responsible for:

Providing accurate business information and requirements

Ensuring compliance with all applicable laws related to communications, call handling, consent, and data usage in their jurisdiction

Properly implementing and using the Services within their business operations

FlowPilotAI does not control how clients use the Services once deployed and assumes no responsibility for client misuse or non-compliance.

6. Fees, Payments, and No Refund Policy
​
Fees for FlowPilotAI Services will be clearly communicated prior to onboarding or service activation.
All payments made to FlowPilotAI are final and non-refundable, including but not limited to:

One-time setup fees

Subscription or monthly service fees
-
Custom configuration, onboarding, or integration fees

By purchasing or using the Services, you expressly acknowledge and agree to this no refund policy.

7. No Guarantee of Results
​
FlowPilotAI does not guarantee any specific outcomes or results, including but not limited to:

Revenue increases
-
Booking volume
-
Conversion rates
-
Lead quality
-
Business growth

Results may vary based on numerous factors outside FlowPilotAI’s control, including market conditions, business practices, and client usage.

8. Service Provided “As Is” and “As Available”
​
The Services are provided on an “as is” and “as available” basis.

FlowPilotAI makes no warranties, express or implied, including but not limited to warranties of accuracy, reliability, merchantability, fitness for a particular purpose, or uninterrupted availability of the Services.

9. AI Systems and Decision Responsibility
​
FlowPilotAI uses automated and AI-assisted systems to support call handling, inquiry qualification, and appointment booking.
FlowPilotAI does not make business, financial, legal, or operational decisions on behalf of clients. Any actions taken based on information, outputs, recommendations, or interactions generated by the Services are solely the responsibility of the client.

10. Third-Party Services

The Services may integrate with or rely on third-party platforms, tools, or service providers.
FlowPilotAI is not responsible for:

Third-party service outages or interruptions

Changes to third-party functionality or availability
-
Errors, delays, or data handling practices of third-party providers

Use of third-party services is subject to their own terms and policies.

11. Intellectual Property
​
All website content, software, systems, branding, and materials are the exclusive property of FlowPilotAI or its licensors.
You may not copy, modify, distribute, or reproduce any materials without prior written consent from FlowPilotAI.

12. Confidentiality
​
Any non-public or proprietary information shared between FlowPilotAI and a client in connection with the Services shall be treated as confidential, except where disclosure is required by law.

13. Limitation of Liability
​
To the maximum extent permitted by law, FlowPilotAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

FlowPilotAI’s total liability arising out of or relating to the Services shall not exceed the total amount paid by the client to FlowPilotAI during the three (3) months preceding the event giving rise to the claim.
​
14. Indemnification
​
You agree to indemnify, defend, and hold harmless FlowPilotAI from and against any claims, damages, losses, liabilities, or expenses arising from:

Your use or misuse of the Services

Your violation of these Terms

Your failure to comply with applicable laws or regulations

15. Termination
​
FlowPilotAI reserves the right to suspend or terminate access to the Services at its discretion if these Terms are violated.
Clients may discontinue Services in accordance with their agreement; however, all payments made remain non-refundable.

16. Governing Law
​
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the applicable laws of Canada.

17. Changes to These Terms
​
FlowPilotAI may update these Terms from time to time. Any changes will be posted on this page with an updated effective date.

Continued use of the Services constitutes acceptance of the revised Terms.

​FlowPilotAI Service Agreement
​
SERVICE AGREEMENT – FLOWPILOT AI This Service Agreement (“Agreement”) is entered into between:
Service Provider: FlowPilot AI Inc. Term & Termination This Agreement is month-to-month and begins on the Effective Date. Either party may terminate this Agreement with thirty (30) days’ written notice. All fees remain payable through the end of the notice period. No refunds or credits are issued upon termination for any reason.

1. Scope of Services FlowPilot AI provides AI-powered automation services, which may include: AI call answering and call routing Automated SMS and text responses Appointment booking and calendar integration Lead capture, summaries, and reporting Initial configuration and ongoing system monitoring Services are provided digitally. Service Delivery: Client acknowledges that services are deemed delivered upon any of the following: Activation of the AI system Configuration of workflows Provision of access credentials or system availability Delivery is not dependent on usage, outcomes, or business results.

2. Fees consist of a one-time setup fee and an ongoing subscription fee, in the amounts agreed upon between the Client and a representative of FlowPilotAi at the time of purchase. The one-time setup fee is non-refundable once configuration or implementation has commenced. Subscription fees are billed in advance on a recurring monthly basis. All payments are processed via Stripe. Failure to remit payment within seven (7) days of the applicable due date may result in suspension or termination of Services without liability to the Company.

3. Client Responsibilities Client is solely responsible for providing accurate and complete: Business hours FAQs, pricing, and policies Booking rules and calendar access Escalation contacts and notification preferences FlowPilot AI is not responsible for errors, missed calls, incorrect responses, or booking issues resulting from inaccurate, incomplete, or outdated information supplied by Client.

4. Client Compliance & Acceptable Use Client is solely responsible for compliance with all applicable laws, regulations, and consent requirements, including but not limited to: Telecommunications and call recording laws Marketing and SMS regulations (e.g., TCPA, CASL) Data protection and privacy laws Client agrees not to use the services for unlawful, deceptive, abusive, or unauthorized purposes.

5. Data & Privacy Client is the data controller. FlowPilot AI acts solely as a data processor. Data is used exclusively to deliver the contracted services and is encrypted at rest and in transit. Upon service termination, Client may request deletion of data, which will occur within thirty (30) days, unless retention is legally required. 6. Third-Party Services Disclaimer Client acknowledges that FlowPilot AI relies on third-party platforms and providers, which may include but are not limited to telecommunications carriers, AI model providers, calendar systems, and payment processors. FlowPilot AI is not liable for outages, interruptions, errors, or failures caused by third-party services beyond its reasonable control.

7. No Refunds All services are digital and delivered upon payment. All fees are final and non-refundable, including setup fees and subscription fees, regardless of usage, satisfaction, or results.

8. No Guarantees FlowPilot AI makes no guarantees regarding business outcomes, revenue, lead volume, conversion rates, or performance. Client acknowledges that results depend on numerous external factors outside FlowPilot AI’s control.
​
9. Limitation of Liability To the maximum extent permitted by law, FlowPilot AI’s total cumulative liability for any claim arising out of or related to this Agreement shall not exceed one (1) month of service fees paid. FlowPilot AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Indemnification Client agrees to indemnify, defend, and hold harmless FlowPilot AI Inc., its officers, employees, and contractors from any claims, damages, fines, penalties, or legal costs arising from: Client’s use or misuse of the services Client’s failure to comply with applicable laws Content, data, or instructions provided by Client.

11. No Medical or Legal Advice Services provided do not constitute medical, legal, financial, or professional advice.
​
12. Governing Law & Venue This Agreement is governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of British Columbia.
​
13. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or representations. No amendment is valid unless made in writing and agreed to by both parties.

14. Acceptance By signing below, Client acknowledges that they have read, understood, and agreed to all terms of this Agreement. Client agrees that execution of this Agreement may occur by electronic signature or by completion of payment through FlowPilot AI’s checkout process, which constitutes acceptance of these terms.
